Terms of Service

1. Agreement

Welcome to FrameShare ("FrameShare," "we," "us," or "our"). By accessing or using our website, platform, or services (collectively, "Services"), you agree to these Terms of Service ("Terms"). Please read these Terms carefully because they form a legally binding agreement between you and FrameShare. If you do not agree to these Terms, you should not use the Services.

A "User" includes any individual or entity who (i) visits the website; (ii) creates an account to access or use the Services; or (iii) accesses the Services via a link to join a session.

A "Provider" includes any individual or entity who is a licensed or certified healthcare professional, or otherwise authorized under applicable law, regulations, or credentialing standards to offer therapeutic or clinical services, and who uses FrameShare's Services to provide or facilitate such services to their patients or clients. Providers are responsible for verifying their professional status, credentials, and compliance with all relevant laws and regulations, including whether they are a covered entity under the Health Insurance Portability and Accountability Act (HIPAA). By sending Session Links to their patients or clients, Providers enable such recipients to use FrameShare's Services as a User.

Where a User acts as a controller of personal data, the User is solely responsible for its compliance with all applicable Data Protection Laws, including executing Data Protection Agreements ("DPA") with FrameShare. The applicable DPA for your jurisdiction is hereby incorporated into these Terms of Service and, in the event of any conflict between the DPA and these Terms, the DPA will control with respect to the processing and security of Customer Data, Professional Services Data, and Personal Data. If you do not see a DPA for your region, please contact FrameShare directly.

The User represents and warrants that it has obtained all necessary consents, licenses and permissions, if any, required from Data Subjects and any third parties, and as required by Data Protection Laws.

By accessing or using the Services, you acknowledge that you have read, understand, and agree to be bound by these Terms and our Privacy Policy. Our Privacy Policy describes how FrameShare collects, uses, shares, and protects certain information when you use the Services.

2. Changes to the Terms of Service

FrameShare reserves the right to modify its Services and these Terms at any time. Changes become effective immediately, and your continued use of the Services constitutes your agreement to be bound by the modified Terms.

3. Description of Services

FrameShare is a digital platform designed to support art therapy, creative expression, research, and education. While FrameShare is a tool to facilitate art therapy and creative practices, it does not itself provide clinical, medical, or mental health services.

"Clinical Art Therapy" refers to a form of psychotherapy conducted by licensed professionals with credentials and specialized training in art therapy. It uses art-making as a therapeutic tool and may include diagnostic assessment and clinical treatment.

"Non-Clinical Art Therapy" refers to informal, creativity-based activities conducted in non-medical settings. These activities do not involve diagnostic assessment or clinical treatment and are not required to be led by a licensed professional. Individuals who conduct Non-Clinical Art Therapy with our Services acknowledge that any engagement with FrameShare is for personal, educational, or recreational purposes only, and does not involve the provision of healthcare, such as diagnosis or treatment.

4. Eligibility

You must be 18 years of age or older to register for the Services. If you are under 18, use of the Services is permitted only with the involvement and consent of a parent or legal guardian. Children under the age of 13 require verifiable parental consent to use the Services.

5. Acceptable Use

You agree to use the Services only for lawful and appropriate purposes. You agree not to:

  • Violate any applicable law, regulation, or professional code of conduct.
  • Upload, share, or distribute unlawful, defamatory, or infringing content.
  • Exploit, harm, or attempt to exploit or harm minors in any way by exposing them to inappropriate content, including words and images, or by soliciting information from them for such purposes.
  • Impersonate or attempt to impersonate a licensed professional, another User, or any other person or entity, including, without limitation, by using a name or e-mail address associated with the foregoing.
  • Store, transmit, or display health-related information except in compliance with applicable privacy laws, such as HIPAA.
  • Attempt to access another User's account, artwork, or data without authorization.
  • Introduce scrapers, crawlers, spiders, or similar technologies to access or copy data from the Services.
  • Interfere with, disrupt, or attempt to gain unauthorized access to FrameShare's systems or networks.
  • Use the Services to train artificial intelligence models or datasets.
  • Reverse engineer, copy, disassemble, or make derivative works of the Services, except for content that you or other Users have created.
  • Engage in fraudulent, deceptive, or misleading behavior in connection with the Services.

We may suspend or terminate your access to the Services for any violation of this section.

6. No Medical Advice

FrameShare shall not be liable for any professional advice obtained from a Provider via the Services, nor for any health or medical information otherwise obtained from our Services.

The website may include health- or medical-related content. Such content is provided for general informational purposes only. FrameShare is not a healthcare provider and does not offer medical advice, diagnosis, or treatment. No medical professional-patient relationship is created between FrameShare and you by your use of the Services. Seek the advice of a qualified health professional with any questions you may have regarding a medical condition and never disregard professional advice or delay seeking treatment based on any information from the website.

FrameShare does not make any representations or warranties about the training or credentials of any Provider who uses the Services, including compliance and licensure obligations. Providers are not employed by us and are solely responsible for the quality and appropriateness of the care and advice they render through our Services. FrameShare does not verify the qualifications of any individual Provider.

Providers represent and warrant that they will obtain any legally required informed consent from their patients, comply with all applicable professional, licensure, and credential requirements, and maintain all required approvals to provide their services through FrameShare.

7. Your Account

You agree to provide accurate and complete information during registration and to update your account as necessary. When you register for an account, you will be required to create a username and password to access or use the website and the Services upon registration. You are entirely responsible for maintaining the security of your username and password, and you agree not to disclose or make your username or password accessible to any third party. Notify us immediately at support@frameshare.com if you suspect unauthorized access to or use of your account.

8. License

FrameShare grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services, provided you do not modify the website, its content, or any copyright or other proprietary notices. Your use of the Services is at the discretion of FrameShare and may be terminated at any time.

9. Termination

FrameShare may suspend or terminate your account at any time if you violate these Terms or any applicable law. Your access to the Services will immediately end upon termination. You may also terminate your account at any time through your account settings.

10. Confidentiality

You retain all ownership rights to artwork, creative product, and other content you upload or create using FrameShare ("User Content"). You are responsible for all User Content that you generate, share, or upload through the Services, and FrameShare takes no responsibility and assumes no liability for User Content. By using the Services, you grant us a limited, non-exclusive, revocable license to store, process, and transmit your content solely for the purpose of providing the Services.

FrameShare will never use, display, or share your User Content publicly without your explicit, written consent. You may choose to share artwork through built-in collaboration tools, and you acknowledge that such sharing occurs at your own discretion. We are committed to protecting the confidentiality of User artwork, session data, and communications.

11. Subscriptions and Fee Changes

Some features of the Services are available on a subscription basis ("Subscription(s)"). Subscription fees are billed according to your selected plan and are non-refundable except as required by law. You will be charged on a recurring basis until you cancel your Subscription. At the end of each billing cycle, your Subscription will automatically renew under the same conditions unless you or FrameShare cancels it. You may cancel renewal through your account settings. Cancellations take effect at the end of the current billing period.

A valid payment method is required to process payment for your Subscription. By submitting payment information, you authorize FrameShare to charge applicable fees incurred to your account. Should automatic billing fail to occur for any reason, FrameShare reserves the right to terminate your Subscription or suspend access until payment is received.

FrameShare may modify Subscription fees. Any Subscription fee change becomes effective at the end of the current billing cycle, and we will provide you with reasonable prior notice so you can cancel your Subscription before the change takes effect. Your continued use after the effective date constitutes your agreement to the modified fees.

12. Indemnification

You agree to indemnify, defend, and hold harmless FrameShare from and against any and all actions, liabilities, losses, claims, proceedings, suits, damages, penalties, fines, settlements, and expenses, including reasonable attorneys' fees, arising out of, related to, or in any way connected with your violation of these Terms, any actions made with your account or account access whether by you or by someone else, or your use of the Services.

13. Disclaimer of Warranties

FrameShare makes no warranties regarding the reliability, accuracy, availability, or suitability of the Services for any purpose. The Services are provided on an "as is" and "as available" basis without warranty of any kind, including but not limited to any express warranties; statutory warranties; any implied warranties of accuracy, merchantability, fitness for a particular purpose, or infringement.

14. Limitation of Liability

Under no circumstances will FrameShare be liable or responsible for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages whatsoever (including, without limitation, those resulting from lost profits, lost data, or business interruption) arising out of your use of the Services. Your sole remedy for dissatisfaction with the website or the Services is to discontinue your use. If applicable law limits the enforceability of liability limitations, then the maximum liability of FrameShare to you with respect to your use of the Services shall not exceed the amount you paid to use the Services in the 12 months preceding the event giving rise to the claim.

15. Dispute Resolution and Applicable Law

In the event of any dispute or claim relating to the Services or these Terms, you agree to the resolution of such dispute in the state or federal courts located in New York County, New York, and you hereby consent to their jurisdiction and venue. These Terms shall be governed, interpreted, and enforced in accordance with the internal laws of the State of New York (excluding its conflicts-of-laws principles). YOU FURTHER AGREE, TO THE EXTENT PERMITTED BY APPLICABLE LAW, TO WAIVE ANY RIGHT TO TRIAL BY JURY WITH RESPECT TO ANY CLAIM, COUNTERCLAIM, OR ACTION ARISING FROM OR RELATING TO THESE TERMS.

16. Entire Agreement

These Terms, together with any terms and policies that are incorporated by reference, constitute the entire agreement and supersede any prior agreements between you and FrameShare with respect to the Services. If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

17. Intellectual Property

All intellectual property rights, including but not limited to copyrights and applicable trademarks, in the Services, platform, Services, and design are owned by FrameShare. Under no circumstances will you acquire any ownership rights or other interest in the Services by or through your use of the Services.

The contents of Services—including, without limitation, the content, website, software, files, documents, text, photographs, images, audio, and video, and any other materials or information accessed through or made available for use or download through the website—may not be copied, distributed, modified, reproduced, licensed, sold, published, or used, in whole or in part, except for purposes authorized by FrameShare.
